Northwind Logistics Master Services Agreement — Excerpt

Section 12.4 Change of Control. Supplier shall provide written notice within ten business days following any change of control transaction.

Assignment to a direct competitor of Northwind requires prior written consent, not to be unreasonably withheld. Northwind may terminate the agreement if consent is not obtained where required.

Diligence implication: buyer identity and competitive positioning must be reviewed before signing.
